'Attendee(s)' - Any individual or individuals attending a course or receiving the services directly from PROMET.
'Client' - Any company, person or firm that purchases the services from PROMET.
'Charge(s)' - PROMET's charges in place from time to time, and as agreed with the Client.
'Contract' - The contract between the Supplier and the Client incorporating these terms and conditions.
'PROMET' - The Supplier of the services. PROMET is the trading name of DEWJU Ltd Company no. 7380401, registered address Avenholme, Munderfield, Bromyard, HR7 4JX.
'In House Course' - A course run by PROMET for a single client, usually at premises owned or managed by the client.
'Venue First Aid at Work Courses' - A First Aid at Work course run by PROMET at premises not owned or managed by the client.
'Materials' - Any documents supplied by one party to another relating to the service.
‘Booking Form’– The booking form supplied to clients for them to complete and return to PROMET to confirm a booking.
'Service(s)' - The service(s) supplied to the Client by PROMET.
'Terms' - These general terms and conditions.
‘Awarding Organisation’ - An organisation that sanctions PROMET to award their qualifications.
No quotation, advertisement or issue of a catalogue by PROMET shall constitute an offer. Every such order accepted by PROMET shall constitute an individual and legally binding Contract. The Contract between the Client and PROMET shall be governed in all respects by these Terms & Conditions of Sale. PROMET shall not be bound by any Terms or Conditions set out in the Client’s order and these Terms & Conditions of Sale shall supersede and prevail over any other terms and conditions stipulated or referred to by the Client. No previous correspondence, writings, telexes, facsimile, telegrams or verbal communications between the Client and PROMET regarding the goods shall form part of or be incorporated into the Contract.
On confirmation of purchase of the Services upon receipt of a completed Booking Form, PROMET will confirm the order in writing by email. An offer to purchase the Services shall not be accepted until PROMET have confirmed by email. On written confirmation of an order or on date of invoice, a Contract is deemed to be formed between the parties. The Client shall promptly provide the Supplier with any materials and other equipment items necessary for the Supplier to properly perform the Service. PROMET reserves the right to alter these Terms & Conditions of Sale from time to time by giving written notice of such alterations to the Client. PROMET reserves the right to make improvements, substitutions or modifications to any part of the goods resulting from any variation for whatever reason in the specification or technical data. PROMET will not be liable in respect of any damage caused by or resulting from such improvements, substitutions or modification.
The Client agrees to provide sufficient details of all Attendees in order for PROMET to provide the Services. The Client warrants that any Attendees shall be physically able and competent to attend the Courses, and carry out any practical elements in full. For In-House Courses, the Client will provide a suitable, carpeted location with sufficient space, and may at their discretion provide complete with flip chart and paper, TV with HDMI connection, and tea, coffee and water as refreshment.
Attendees of courses must attend the whole course in order to gain the approved qualification. Failure to attend any part of the course will result in the attendee not being assessed as competent and we will not be able to issue them with a certificate. Due to this PROMET reserves the right to refuse any late arrivals entry to the course.
For all courses The Client agrees to pay the Charges as set out in the invoice within 30 days of the date of the invoice, but no later than 60 days after the provision of the Services. The Charges and terms may be varied by PROMET from time to time. All quoted prices and Charges exclude VAT. We accept payment by cheque or BACS. Cheques should be made payable to PROMET. PROMET may charge interest on any outstanding amounts at the rate of 8% above the base rate from time to time of National Westminster Bank Plc, from the date due for payment, until the outstanding amount is paid in full. PROMET reserves the right to suspend the Services for any amounts that are outstanding. If payment of any Charges have not been received at least 7 days before the commencement of the Services, PROMET reserve the right to cancel the Services, and the Client will, at PROMET's discretion, be liable for 50% of the outstanding Charges.
Provisional bookings over the phone will be held for a maximum of 7 days if the booking is made at least 28 days prior to commencement of the course.
PROMET warrants that all Services will be provided using reasonable care and skill. Subject as expressly provided in these Terms and Conditions, all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law and PROMET shall not be liable to the Client for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever, whether arising out of or in connection with the supply of the Service. PROMET cannot be held responsible for any circumstances outside our control which may affect our ability to fulfil our commitment to you. Such circumstances include (but are not limited to) adverse weather conditions, illness, unexpected changes in legislation etc. The entire liability of PROMET under or in connection with the Services shall not exceed the total charges paid by the Client. PROMET shall not be liable to the Client, or in breach of Contract, if they delay in performing, or fail to perform, any of their obligations to the Client, if that delay or failure was beyond its reasonable control. PROMET does not accept liability for any accidents, failures or misuse of training carried out by any attendees after they have completed the course. Attendees who participate in training with our company do so at their own risk. PROMET must comply with regulations as set out by the appropriate Awarding Organisation and reserve the right to make any changes to these courses as required by the Awarding Organisation without prior notice. In line with the policy of Continuous Professional Development for all our trainers/assessors PROMET reserves the right to make any changes necessary to course content and material in line with recommendations from relevant Awarding Organisation. By booking a course the Client agrees that they have read and understood these Terms and Conditions.
Course cancellation Charges for all other Courses are as follows: Cancellation between 22 and 28 days before day 1 of course: 25% of course fee. Cancellation between 15 and 21 days before day 1 of course: 50% of course fee. Cancellation within 14 days of day 1 of course: 100% of course fee. If an equivalent course is re-booked with PROMET at the time of cancellation, PROMET will waive the cancellation charge, and charge instead, a transfer fee of £50, plus any other unavoidable costs. Non-attendance to a course will not be considered as a cancellation, and the Client will be liable for the full Charges.
PROMET reserve the right to cancel or reschedule courses due to low numbers of delegates on a particular course. In this case, every effort will be made to reschedule the course to a time convenient to all parties. In such a case, PROMET will make all reasonable efforts to notify the Client in advance, via their preferred means of contact. Where multiple Attendees are attending from a single organisation, PROMET will notify the central booking contact, not the individual candidates.
PROMET reserves the right to make a charge for each attendee. Any additional certificates required will incur the cost to the Awarding Organisation for a replacement certificate and an administration fee of £20.00 including postage and packing. Replacement PROMET certificates will incur the cost of £5.00 for a replacement certificate and an administration fee of £20.00 including postage and packing.
All costs to a client will be subject to VAT at the prevailing rate.
